1. Acceptance of Terms

By accessing or using RenewalCompass (the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Regency Software LLC, a Michigan limited liability company doing business as RenewalCompass ("we," "us," "our"). If you are accessing the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

RenewalCompass is a cloud-based renewal pipeline and risk management platform for independent insurance agencies. The Service allows agencies to manage clients, policies, carriers, renewal actions, and team workflows through a web application accessible at app.renewalcompass.com.

We reserve the right to modify, suspend, or discontinue the Service (or any portion thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Accounts

Registration. To use the Service, you must create an account by providing a valid email address and password. You may also be invited to an existing agency account by an administrator. You agree to provide accurate, current, and complete information during registration.

Account Security. You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@renewalcompass.com if you suspect unauthorized access to your account. We are not liable for any loss or damage arising from your failure to protect your credentials.

Account Eligibility. The Service is intended for use by businesses and professionals. You must be at least 18 years old and have the legal capacity to enter into these Terms. The Service is not intended for personal, household, or consumer use.

One Agency Per Account. Each registered account is associated with a single agency. Users can belong to only one agency account at a time. Creating accounts for the purpose of circumventing plan limits is prohibited.

4. Subscription and Billing

Subscription Plans. Paid plans are available on a monthly or annual basis. Plan details including pricing and limits are described at renewalcompass.com/pricing/. We reserve the right to modify plan pricing with 30 days' notice to current subscribers.

Billing Cycle. Subscriptions are billed monthly on the anniversary of your first paid charge. All fees are in US dollars.

Payment Processing. Payments are processed by Stripe. By providing a payment method, you authorize us to charge it for all fees incurred under your plan. Failed payments may result in service interruption after a reasonable grace period.

Plan Limits. Each plan is subject to user and policy limits as described on the pricing page. Exceeding your plan's limits will require upgrading to the next tier. We will notify you before blocking additional records.

5. Refunds

Subscription fees are non-refundable once a billing period has begun, except in cases of duplicate charges or billing errors. If you believe you have been charged in error, contact us at support@renewalcompass.com within 30 days of the charge and we will investigate and correct any confirmed errors.

Canceling your subscription stops future charges. You retain access to the Service through the end of the current billing period. No partial-month refunds are issued for mid-cycle cancellations.

6. Your Data

Ownership. You retain all ownership rights to the data you enter into RenewalCompass, including client records, policy data, carrier records, and notes ("Customer Data"). We do not claim any ownership over your Customer Data.

License to Us. By using the Service, you grant us a limited, non-exclusive, non-transferable license to store, process, and transmit your Customer Data solely as necessary to provide the Service to you.

Data Export. You may request an export of your Customer Data at any time by contacting support@renewalcompass.com. We will provide a machine-readable export within 10 business days.

Data After Cancellation. Upon cancellation, we retain your data for 90 days to allow for account reactivation. After 90 days, your data may be purged. If you need your data exported before cancellation, contact support before you cancel.

Privacy. Our collection and use of personal data is governed by our Privacy Policy, incorporated herein by reference.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Store or transmit any content that is unlawful, fraudulent, or infringes the rights of any third party
  • Attempt to gain unauthorized access to the Service, its servers, or any related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use the Service to provide a competing service or for any commercial purpose not authorized by these Terms
  • Introduce viruses, malware, or any other harmful code into the Service

We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated this Acceptable Use section.

8. Service Availability

We aim to provide the Service on a continuous basis but we do not guarantee any specific uptime or availability level. Scheduled maintenance, unplanned outages, and events outside our control (including third-party infrastructure failures) may interrupt the Service.

We will make reasonable efforts to notify users of planned maintenance windows in advance. We are not liable for any loss or damage arising from Service unavailability.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REGENCY SOFTWARE LLC, DOING BUSINESS AS RENEWALCOMPASS, AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MINIMUM PERMITTED BY LAW.

10. Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers by email at least 30 days before material changes take effect. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.

If you do not agree to updated Terms, you must stop using the Service and cancel your subscription before the effective date of the changes.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any disputes not subject to arbitration under Section 14 shall be resolved exclusively in the state or federal courts located in Michigan, and you consent to personal jurisdiction in those courts.

13. Intellectual Property

The Service, including all software, code, design, text, graphics, logos, trademarks, and other content comprising RenewalCompass, is owned by Regency Software LLC and is protected by applicable intellectual property laws, including copyright, trademark, and trade secret law.

Nothing in these Terms transfers any ownership of intellectual property to you. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during the term of your active subscription.

"RenewalCompass" and related marks are trademarks of Regency Software LLC. You may not use these marks without our prior written consent.

Any feedback, suggestions, or ideas you submit to us regarding the Service may be used by us without restriction or compensation to you.

14. Dispute Resolution

Informal Resolution. Before initiating any formal proceeding, you agree to contact us at hello@renewalcompass.com and provide a written description of the dispute, your desired resolution, and your contact information. We will attempt to resolve the dispute informally within 30 days of receiving your notice. If we cannot resolve the dispute informally, either party may proceed to arbitration as described below.

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Michigan or, at your election, by videoconference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information without first engaging in the informal dispute resolution process.

Class Action Waiver. You agree that any arbitration or proceeding shall be limited to the dispute between us individually. To the fullest extent permitted by law, you waive the right to participate in a class action, class arbitration, or representative proceeding.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to hello@renewalcompass.com within 30 days of first accepting these Terms. Your notice must include your name, agency name, and a clear statement that you are opting out of arbitration.
